Terms of Service
1. Operator and Acceptance
These Terms of Service ("Terms") are a legal agreement between you and Tanuly Incorporated doing business as Tanuly ("Tanuly," "we," "our," or "us").
By creating an account, clicking to accept, or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.
If you do not agree to these Terms, do not use the Services.
2. Eligibility and Account Authority
You must be at least 18 years old (or the age of legal majority in your jurisdiction) and legally capable of entering into contracts.
If you create or administer a workspace for a company, your workspace administrators may manage users, integrations, data access, and account settings for that workspace.
You agree that you will:
- Provide accurate account information and keep it up to date.
- Maintain the confidentiality of account credentials and MFA factors.
- Promptly notify us of unauthorized account use or suspected security incidents.
3. Services Overview
Tanuly provides automation software and related features, including workflow automation, AI-assisted support, integrations, analytics, notifications, and related services (collectively, the "Services").
The Services may evolve over time. We may add, modify, or retire features to improve reliability, security, or user outcomes.
4. Account Registration, Email Sign-up, and Social Sign-in
You may register by email/password or by supported social sign-in providers. Social sign-in confirms control of the external account through the provider OAuth flow.
When social sign-in is used, Tanuly links a provider identity record to your user account to support secure authentication and account integrity. We may require verified email data from the identity provider for account creation.
You are responsible for selecting secure credentials, enabling available security controls, and ensuring users in your organization follow reasonable account security practices.
5. Customer Content and Responsibility for Instructions
You retain ownership of data, prompts, files, workflow configurations, and other content you submit to the Services ("Customer Content").
You grant Tanuly a limited, non-exclusive, worldwide license to host, process, transmit, and display Customer Content solely to provide, maintain, secure, and improve the Services in accordance with these Terms and applicable law.
You are responsible for the legality, accuracy, and appropriateness of Customer Content and automation instructions, including data flows across integrations and any resulting actions (for example: outbound messages, updates, or API calls).
6. Acceptable Use and Prohibited Conduct
You may not use the Services in ways that are unlawful, abusive, deceptive, infringing, or that create unreasonable security or operational risk.
Without limitation, you must not:
- Attempt unauthorized access, probing, or disruption of systems, networks, or connected accounts.
- Use the Services to distribute malware, phishing content, spam, or fraudulent communications.
- Process data without required notices, rights, permissions, or legal basis.
- Use the Services for prohibited high-risk activities where failure could lead to death, serious bodily harm, or severe environmental damage unless explicitly authorized in writing by Tanuly.
- Bypass usage limits, protective controls, or technical restrictions.
7. Third-Party Services and Integrations
The Services support third-party integrations. Your use of those third-party products is governed by your agreements with those providers (for example, Google, Microsoft, Apple, Facebook, Slack, Notion, Salesforce, and similar services).
Tanuly is not responsible for third-party services, changes in their APIs, outages, policy decisions, or actions they take with your data. You are responsible for obtaining and maintaining required third-party licenses and permissions.
8. AI-Assisted Features
Some features may use AI or machine-learning systems and can produce probabilistic output. You are responsible for reviewing output before relying on it in business, legal, financial, compliance, or customer-facing decisions.
You must not submit sensitive data to AI-assisted features unless your configuration and legal obligations allow it.
Tanuly will not use Customer Content from paid workspace features to train generalized foundation models unless we clearly disclose that practice and obtain any required consent.
9. Fees, Billing, and Taxes
Paid plans, usage limits, and billing terms are described in your order form, checkout flow, or pricing page at the time of purchase.
Unless otherwise stated, fees are non-refundable, payable in the invoiced currency, and exclusive of applicable taxes. You are responsible for applicable taxes, duties, and similar governmental charges (excluding taxes based on our net income).
If payment is overdue, we may suspend paid features after reasonable notice. You remain responsible for unpaid amounts.
10. Security, Safeguards, and Incident Notification
Tanuly implements administrative, technical, and physical safeguards designed to protect Customer Content, including access controls, encryption controls where appropriate, logging, and rate-limiting protections aligned with service risk.
No service can be guaranteed as perfectly secure. You are responsible for secure configuration of your users, integrations, and workflows.
If we confirm a security incident affecting Customer Content under our control, we will notify you without undue delay as required by applicable law and provide available details reasonably needed for your response.
11. Privacy, Data Processing, and Compliance Support
Our collection and use of personal data is described in our Privacy Policy.
Where required by law, we will make available a Data Processing Addendum (DPA) for customers acting as controllers. Customers are responsible for determining whether their use of the Services meets legal requirements in their jurisdictions and industries.
12. Intellectual Property Rights
Tanuly and its licensors retain all rights, title, and interest in the Services, including software, trademarks, design, and documentation, except for rights expressly granted in these Terms.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Services during your subscription term for your internal business purposes.
If you provide suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free license to use that feedback to improve the Services without obligation to you.
13. Confidentiality
Each party may receive non-public information from the other party that is designated confidential or that should reasonably be understood as confidential ("Confidential Information").
The receiving party will use Confidential Information only as needed to perform under these Terms and will protect it using reasonable safeguards. This section does not apply to information that is publicly available without breach, independently developed, lawfully received from a third party, or disclosed by legal requirement.
14. Suspension and Termination
You may stop using the Services at any time. We may suspend or terminate access for material breach, non-payment, legal risk, abuse, or security threats.
Where practical, we will provide advance notice and an opportunity to cure before suspension. In urgent security or legal scenarios, suspension may occur immediately.
Upon termination, your access ends and we may delete or anonymize data in accordance with our retention practices, legal obligations, and backup cycles.
15. Warranties and Disclaimers
To the maximum extent permitted by law, the Services are provided "as is" and "as available." Tanuly disclaims all implied warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Services will be uninterrupted, error-free, or compatible with every third-party service at all times.
16. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data, even if advised of the possibility of such damages.
To the maximum extent permitted by law, each party total aggregate liability arising out of or related to these Terms will not exceed the amounts paid or payable by you to Tanuly for the Services during the twelve (12) months before the event giving rise to liability.
The exclusions and limits in this section do not apply to liabilities that cannot be limited under applicable law.
17. Indemnification
You will defend, indemnify, and hold harmless Tanuly and its affiliates, officers, directors, employees, and agents from third-party claims arising from your Customer Content, your use of the Services in violation of these Terms, or your violation of law or third-party rights.
Tanuly will defend and indemnify you from third-party claims that the Services, as provided by Tanuly and used in accordance with these Terms, directly infringe such third party copyright, trade secret, or trademark rights, subject to customary exclusions (including modifications not made by Tanuly, combinations not provided by Tanuly, and continued use after notice of infringement).
18. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, United States, excluding conflict-of-law principles.
Any dispute arising under these Terms will be resolved exclusively in the courts located in Delaware, United States, unless otherwise required by applicable law.
You and Tanuly consent to personal jurisdiction and venue in those courts.
19. Changes to Terms and Contact Information
We may update these Terms periodically. Material changes will be communicated through the Services or by other reasonable means. Continued use of the Services after the effective date of updated Terms constitutes acceptance of the updated Terms.
